Cleanster API, Integration, and White-Label Terms of Use

These API, Integration, and White-Label Terms of Use (“Terms”) govern access to and use of the Cleanster platform, marketplace, APIs, developer tools, integrations, white-label services, and related documentation (collectively, the “Cleanster Platform”) provided by Cleanster, Inc. (“Cleanster”, “we”, “our”, or “us”).

By accessing, integrating with, or using the Cleanster Platform, you (“Partner”, “Developer”, “Integrator”, or “User”) agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Cleanster Platform.

1. License to Use the Platform

Cleanster grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Cleanster Platform solely for the purpose of integrating Cleanster services into your software, applications, or services in accordance with these Terms.

No ownership rights are transferred. Cleanster retains all right, title, and interest in and to the Cleanster Platform.

2. White-Label Use

Cleanster may allow certain partners to offer Cleanster services under a white-label or embedded integration model.

White-label use does not grant ownership or licensing rights in the Cleanster technology, infrastructure, marketplace, or operational systems.

Partners may not represent themselves as the owner or operator of the underlying service infrastructure unless expressly authorized by Cleanster in writing.

3. Non-Circumvention

Partners agree not to circumvent the Cleanster marketplace or platform.

Without limitation, partners may not:

  • directly solicit, contract with, recruit, or engage cleaners or service providers introduced through the Cleanster Platform outside the Cleanster marketplace
  • bypass Cleanster to perform services with customers introduced through the Cleanster Platform
  • redirect or migrate Cleanster marketplace participants to a competing platform

These restrictions apply during the use of the Cleanster Platform and for twenty-four (24) months following termination of access.

4. Non-Replication and Competitive Use Restriction

Partners may not use the Cleanster Platform, APIs, documentation, workflows, or operational insights to build, develop, operate, or support a competing service.

Prohibited activities include, but are not limited to:

  • reverse engineering the Cleanster Platform or APIs
  • analyzing system workflows to replicate marketplace functionality
  • building a competing service marketplace using knowledge derived from the Cleanster Platform
  • training algorithms, automation systems, or operational tools using Cleanster marketplace data or API responses
  • replicating Cleanster scheduling, service fulfillment, or marketplace orchestration systems

Any attempt to replicate or compete using knowledge gained from the Cleanster Platform constitutes a material breach of these Terms.

5. Data Ownership

All platform data, marketplace activity data, operational workflows, pricing systems, scheduling logic, and service orchestration technology are the exclusive property of Cleanster.

Partners may only use data received through the API for the purposes of operating the authorized integration.

Partners may not:

  • store data longer than necessary to operate the integration
  • sell, license, or distribute Cleanster data
  • use Cleanster data to build competitive intelligence or market analysis

6. API Access and Usage

API keys and credentials provided by Cleanster are confidential and may only be used by the authorized partner.

Partners must not:

  • share API credentials
  • exceed rate limits
  • scrape platform data
  • use automated systems to simulate marketplace activity

Cleanster may suspend or terminate API access at any time for violations of these Terms.

7. Intellectual Property

All intellectual property related to the Cleanster Platform, including but not limited to software, marketplace systems, APIs, infrastructure, operational frameworks, algorithms, and documentation, remain the sole property of Cleanster.

Nothing in these Terms grants any ownership interest to partners.

8. Termination

Cleanster may suspend or terminate access to the platform or API at any time for:

  • violation of these Terms
  • misuse of the platform
  • attempts to circumvent or replicate Cleanster services
  • security or fraud risks

Upon termination, all platform access must cease immediately.

9. Remedies

Partners acknowledge that unauthorized use, replication, or circumvention of the Cleanster Platform may cause irreparable harm.

Cleanster reserves the right to pursue all available legal remedies, including:

  • injunctive relief
  • damages
  • recovery of lost profits
  • recovery of reasonable legal fees

10. Governing Law

These Terms shall be governed by and interpreted under the laws of the State of Delaware, without regard to conflict of law principles.

Any disputes arising from these Terms shall be resolved through binding arbitration administered under the rules of the American Arbitration Association.

11. Modifications

Cleanster may update these Terms from time to time. Continued use of the platform following such updates constitutes acceptance of the revised Terms.

Partners may not directly or indirectly replicate, copy, reproduce, or develop a service marketplace using knowledge, workflows, data models, scheduling systems, operational processes, or technical insights derived from the Cleanster platform or APIs.This includes, without limitation:• cloning or recreating a service marketplace modeled on Cleanster• replicating Cleanster scheduling, service fulfillment, or job-assignment systems

• using operational insights gained from Cleanster integrations to build competing services

Prohibited conduct includes:

• coordinating services outside the Cleanster platform with customers introduced through Cleanster

• redirecting transactions to avoid Cleanster marketplace processes or service fees

• creating parallel booking or scheduling workflows that bypass the Cleanster platform

Violation of this section constitutes a material breach of these Terms.

Cleanster reserves the right to immediately suspend or terminate platform or API access and pursue all available legal remedies, including:

• injunctive relief

• recovery of damages or lost commissions/sales

• recovery of legal fees and enforcement costs

These remedies are in addition to any other rights or remedies available under applicable law.

Partners may not use data, API responses, system outputs, operational insights, service patterns, or marketplace activity derived from the Cleanster platform to build, train, operate, or support any competing service.

This includes using Cleanster platform data to:

• analyze marketplace operations to build a competing system

• train software, algorithms, or automation tools designed to replicate Cleanster services

• create derivative services or competitive platforms using Cleanster operational knowledge
