Cleanster Pay Later – Terms of Use
1. Eligibility
1.1 Minimum Weekly Volume. To qualify for Cleanster Pay Later, you must process a minimum of $5,000 (USD/CAD/GBP as applicable) in weekly bookings through the Cleanster platform.
1.2 Account Standing. Your account must remain in good standing with no outstanding balances, chargebacks, or disputes. Cleanster reserves the right to suspend or terminate your access to Pay Later if you fail to meet eligibility requirements.
2. Payment Terms
2.1 Invoice Issuance. Cleanster will issue invoices to Pay Later participants based on completed services.
2.2 Credit Card Payments. If you select credit card as your payment method, charges will be processed within forty-eight (48) hours of invoice issuance.
2.3 Bank ACH/EFT Payments. If you select bank ACH or EFT transfer, payment is due within seven (7) calendar days of invoice issuance.
2.4 Late Payments. Any late payments may result in:
- Suspension or termination of Pay Later privileges.
- Accrued late fees at [insert interest rate, e.g., 3% per month or the maximum allowed by law].
- Immediate charge to your stored payment method.
3. Authorization
By enrolling in Pay Later, you authorize Cleanster (or its third-party payment processor, including Stripe or PaymentRails/Trolley ) to:
- Initiate credit card charges within 48 hours of invoice issuance.
- Debit your bank account via ACH/EFT within seven (7) days of invoice issuance.
- Collect any overdue amounts automatically using your default payment method.
4. Defaults
4.1 Breach. Failure to make timely payments constitutes a material breach of this Agreement.
4.2 Remedies. Cleanster reserves the right to pursue any lawful remedies, including suspension of services, collection actions, and recovery of attorney’s fees and costs.
5. Program Modifications
Cleanster may modify or discontinue the Pay Later program at any time upon providing notice via email or platform notification. Continued use of Pay Later after notice constitutes acceptance of updated terms .
6. Governing Law & Dispute Resolution
This Agreement will be governed by the laws of Delaware, USA (for U.S. Users), Ontario, Canada (for Canadian Users), or England & Wales (for U.K. Users), as applicable, without reference to conflict-of-law principles .
Disputes will be resolved through binding arbitration (where permitted by law) or mediation prior to litigation, as provided in Cleanster’s general User Agreements .
7. Miscellaneous
- Severability. If any provision is held invalid, the remaining provisions shall remain in full force.
- Assignment. You may not assign your Pay Later rights or obligations without Cleanster’s prior written consent.
- Entire Agreement. These Terms, together with referenced agreements, constitute the full agreement governing Pay Later.
